1. About These Terms
These Terms of Service apply to the use of the CoreVative website
and, where incorporated into an agreement, to services supplied by
CoreVative.
For these terms, ‘we’, ‘us’, and ‘our’ refer to CoreVative, and
‘you’ and ‘your’ refer to the person or business using the website
or engaging our services.
Legal business name: CoreVative.
Business address: Dhaka, Bangladesh.
Contact:
hello@corevative.com.
A proposal or signed service agreement may contain additional
terms for a specific project. If documents conflict, the order of
precedence should be expressly stated in the applicable signed
agreement. Mandatory legal rights continue to apply regardless of
that order.
2. Eligibility and Business Engagements
Our services are primarily designed for business customers,
including plumbing businesses and related service providers.
Before accepting an engagement, we may request reasonable
information about the client, its business, its project
requirements, and its authority to enter into the agreement.
If a client contracts with us as an individual consumer rather
than for business purposes, mandatory consumer rights may apply.
Nothing in these terms is intended to remove rights that cannot
lawfully be excluded.
The applicable terms and cancellation rights depend on the actual
contracting parties, the nature of the service, the place of
establishment, and the applicable law.
3. Services We Provide
Depending on the agreed scope, CoreVative may provide:
- Website design and development.
- Website redesign and technical improvements.
- Landing pages and conversion-focused page structures.
- Local search optimisation.
- Google Business Profile support.
- Content structure and service-area pages.
- Paid advertising campaign setup and management.
- Analytics and conversion tracking.
- Review request workflow implementation.
- Website maintenance.
- Digital strategy and reporting.
- Other related digital services agreed in writing.
The exact deliverables, exclusions, fees, milestones, and timeline
will be described in the relevant proposal or statement of work.
We do not automatically include every service in every package.
Work outside the agreed scope may require a separate quotation,
revised timeline, and written approval.
4. Proposals and Contract Formation
Before a project begins, we will ordinarily provide a proposal,
quotation, or written scope describing the principal deliverables,
fees, payment arrangements, and expected timeline.
A contract is formed when the parties accept the proposal or
service agreement using the agreed method.
We may require a deposit or initial payment before scheduling or
beginning work. The amount and due date will be specified in the
proposal.
An enquiry, discovery call, or website review does not itself
create an obligation to purchase services.
Any material changes to the agreed scope should be documented in
writing.
5. Client Responsibilities
To deliver work effectively, you agree to:
-
Provide accurate business information and project requirements.
-
Supply the content, images, credentials, and materials you are
responsible for providing.
-
Ensure you have the necessary rights and permissions to use
supplied materials.
- Provide timely feedback and approvals.
-
Review deliverables carefully and identify material issues
within the agreed review period.
-
Maintain appropriate access to your domain, hosting, business
accounts, and third-party platforms.
-
Ensure your own business services, advertising claims,
qualifications, licences, and customer practices comply with
applicable law.
-
Obtain any customer permissions or consents that you are
responsible for obtaining.
- Make payments according to the agreed schedule.
- Notify us of changes that may affect the project.
Delays in receiving required content, approvals, access, or
payments may affect delivery dates.
Where a delay is caused by missing client input, we will
communicate its practical effect on the schedule and any
reasonable additional costs before proceeding with material
additional work.
6. Scope Changes and Additional Work
The agreed proposal defines the work included in the project.
Additional pages, features, integrations, revisions, copywriting,
campaigns, translations, migrations, or other work outside that
scope may require additional fees.
We will explain the requested change, its expected cost, and its
likely effect on the timeline before undertaking material
additional work.
Unless otherwise agreed in writing, work outside the approved
scope is not included in the original project fee.
We will not treat an unapproved additional fee as automatically
payable merely because we recommend an improvement.
7. Project Timeline and Delivery
Any estimated project timeline is based on the agreed scope, the
timely receipt of required materials, and the availability of
necessary third-party systems.
We will make reasonable efforts to meet agreed milestones and
communicate material delays.
A delivery estimate is not an unconditional guarantee unless an
express written agreement states otherwise.
Third-party approval processes, platform outages, domain or
hosting problems, delayed client feedback, and changes to scope
may affect delivery.
If a delay materially affects an agreed milestone, we will discuss
a reasonable revised plan.
8. Fees, Invoices, and Payment
All fees, currency, taxes, deposits, payment milestones, and
payment deadlines will be stated in the applicable proposal or
service agreement.
Unless the proposal states otherwise:
- A project deposit may be required before work begins.
-
Milestone payments are due according to the agreed schedule.
-
Final project payments are due according to the agreed invoice
terms.
-
Monthly service fees are payable in advance for the relevant
service period.
-
Advertising spend, hosting, domain registration, premium
software, stock assets, third-party subscriptions, and other
external charges are excluded unless explicitly included in the
proposal.
-
Bank transfer, card processing, currency conversion, and other
payment-related fees will be disclosed where applicable.
Invoices must be paid by the stated due date.
If you dispute an invoice in good faith, please contact us
promptly, identify the disputed amount and reason, and pay any
undisputed amount when due, subject to applicable law and the
agreement.
We will not impose an undisclosed fee or retroactively change an
agreed price.
9. Late Payments and Suspension
If an invoice remains unpaid after its due date, we may contact
you to request payment and clarify any dispute.
Where permitted by applicable law and the agreement, we may charge
lawful interest or reasonable recovery costs for overdue payments.
Any applicable interest rate, recovery charge, or contractual fee
must be expressly stated in the relevant agreement or otherwise
permitted by law. We do not impose arbitrary or undisclosed
penalties.
If a material payment default continues after reasonable written
notice and an opportunity to resolve the issue, we may suspend
affected services where contractually and legally permitted.
Before suspension, we will explain the outstanding amount, the
intended action, and any reasonable steps required to restore the
service.
Suspension will not be used to avoid our own contractual
obligations or remove rights that the client has under applicable
law.
The consequences of suspension for hosting, maintenance,
advertising, or other third-party services depend on the relevant
agreement and provider terms.
10. Recurring Services and Cancellation
Recurring services, such as website maintenance, ongoing SEO, and
digital management, will be governed by the billing cycle, service
scope, minimum term if any, and cancellation arrangements stated
in the relevant agreement.
Unless a signed agreement states otherwise and the arrangement is
lawful, ongoing services continue according to the agreed billing
cycle until cancelled in accordance with the contract.
The applicable agreement must specify:
- The billing frequency.
- Any minimum commitment.
- The notice period.
- The method for giving notice.
- The date on which services end.
- Any applicable final invoice or accrued fees.
We will not impose an undisclosed minimum term or an automatic
renewal condition that was not properly disclosed and agreed.
Where consumer subscription rules apply, we will comply with the
relevant information, reminder, cancellation, and other legal
requirements.
Cancelling a recurring service does not automatically cancel
outstanding project invoices or third-party contracts entered into
separately.
The client remains responsible for any lawful charges incurred
before the effective cancellation date.
11. Refunds and Early Termination
Refunds, cancellations, and payments following early termination
are governed by the applicable service agreement, the Refund
Policy published on our website, and mandatory law.
Where a project is cancelled after work has begun, the parties
will assess the work completed, approved third-party commitments,
applicable contractual payment milestones, and any refund or
cancellation rights.
We will not retain money that must lawfully be refunded or impose
a cancellation charge prohibited by applicable law.
For recurring services, the effective cancellation date and any
final charges will be determined by the applicable agreement and
legal requirements.
Please refer to our
Refund Policy for the detailed
process.
12. Intellectual Property
Each party retains ownership of intellectual property it owned
before the engagement or developed independently of the
engagement.
The client is responsible for ensuring it has permission to
provide any images, text, logos, fonts, videos, trademarks, and
other materials supplied to CoreVative.
Unless the applicable proposal states otherwise:
-
We retain ownership of our pre-existing tools, reusable
components, methods, templates, frameworks, and general
know-how.
-
Third-party software, fonts, themes, plugins, stock images, and
other licensed assets remain subject to their respective licence
terms.
-
Ownership or licence rights in bespoke deliverables created
specifically for a client will be described in the applicable
agreement.
-
Where transfer of ownership is agreed, that transfer may be
conditional on payment of the applicable fees in full, to the
extent permitted by law.
-
Until the agreed payment conditions are satisfied, the client
receives only the limited rights expressly granted in the
applicable agreement.
-
We will not transfer third-party rights that we do not own or
have authority to transfer.
The client should confirm that any requested use of third-party
assets is compatible with the relevant licence.
13. Portfolio and Publicity
We may wish to display completed work in our portfolio or describe
a project as an example of our services.
We will obtain appropriate permission before publishing
confidential client information, non-public project materials,
identifiable client endorsements, or materials where permission is
required.
Unless the applicable agreement states otherwise, we will not
publish confidential business information or imply that a client
endorses CoreVative without permission.
The client may request that agreed confidentiality restrictions be
documented in writing.
14. Hosting, Domains, and Third-Party Services
Websites may depend on hosting providers, domain registrars,
content management systems, plugins, payment processors, analytics
platforms, advertising platforms, and other third-party services.
Unless explicitly included in the proposal, the client is
responsible for purchasing and maintaining its own domain names,
hosting accounts, third-party subscriptions, and advertising
budgets.
Third-party services are governed by their own terms and
availability.
We will take reasonable care when selecting and configuring
third-party services within our scope, but we cannot guarantee
uninterrupted availability of systems operated independently by
other providers.
Where possible, clients should retain appropriate ownership or
administrative control over their domain, hosting, and core
business accounts.
15. SEO, Advertising, and Results
Digital marketing outcomes depend on many factors, including
competition, search engine changes, location, market demand,
budget, customer behaviour, website quality, business reputation,
and the client's operational capacity.
We may improve website structure, local SEO foundations, content
relevance, landing pages, advertising campaigns, analytics, and
conversion journeys.
However:
- We do not guarantee first-page search rankings.
-
We do not guarantee a specific number of calls, enquiries,
customers, or sales.
-
We do not guarantee a particular revenue increase or return on
advertising spend.
-
We cannot control search engine algorithms or third-party
platform decisions.
-
We cannot guarantee approval or continued access to third-party
accounts.
-
Advertising spend is separate from management fees unless
explicitly stated otherwise.
-
Forecasts and estimates are planning tools, not guaranteed
outcomes.
We will describe the work included in our service and report on
agreed indicators where suitable data is available.
16. Client Data and Confidentiality
Each party must handle confidential information received from the
other responsibly and use it only for the purposes of the
engagement, subject to applicable law and any separate
confidentiality agreement.
Confidential information does not include information that is
already public through no breach of confidentiality, was lawfully
known before disclosure, was independently developed, or must be
disclosed by law.
Where CoreVative processes personal data on a client's behalf, the
parties will determine whether a data-processing agreement or
additional safeguards are required.
The client remains responsible for determining the lawful purposes
of processing its customers' personal information and for
providing any notices or obtaining any permissions that are its
responsibility.
We will not use client customer data for unrelated purposes
without a lawful basis and appropriate authority.
17. Acceptable Use and Client Conduct
Clients must not ask us to create or operate digital content or
systems intended to facilitate unlawful activity, fraud, deceptive
advertising, impersonation, malware distribution, unauthorised
access, fake reviews, or other prohibited conduct.
Clients must not provide materials that knowingly infringe another
party's rights or instruct us to misrepresent qualifications,
licences, service availability, pricing, customer feedback, or
business results.
We may decline or suspend unlawful or clearly harmful work,
subject to the applicable agreement and legal requirements.
Where practicable, we will explain the concern and allow an
opportunity to clarify or remedy it.
18. Warranties and Service Standards
We will perform agreed services with reasonable care and skill and
in accordance with the applicable agreement and mandatory law.
Any specific warranty, maintenance commitment, support response
time, browser compatibility requirement, or acceptance criterion
must be set out in the relevant agreement.
Unless expressly agreed, we do not guarantee that every
third-party plugin, platform, device, browser, or external
integration will remain available or compatible indefinitely.
If you identify a material issue with delivered work, please
notify us with sufficient details so that we can assess and
address it in accordance with the agreement and applicable law.
19. Limitation of Liability
Nothing in these terms excludes or limits liability where such
exclusion or limitation is prohibited by applicable law.
Subject to that restriction, neither party will be liable to the
other for indirect or consequential losses to the extent such
losses may lawfully be excluded under the applicable agreement.
Any contractual cap on liability, exclusion of particular losses,
or allocation of responsibility must be expressly agreed in the
relevant service agreement and must be reasonable and lawful in
the applicable jurisdiction.
We do not exclude liability for fraud, fraudulent
misrepresentation, death or personal injury caused by negligence,
wilful misconduct, or any other liability that cannot lawfully be
excluded.
Nothing in this section removes mandatory consumer rights or
statutory remedies.
The applicable agreement should specify any lawful liability cap
and the basis on which it applies. Do not invent a numerical cap
in this general document without confirming that it has been
approved for the actual business and engagement.
20. Indemnities
Any indemnity relating to third-party claims, client-supplied
materials, intellectual property, or unlawful client instructions
must be expressly stated in the applicable service agreement.
An indemnity will apply only to the extent permitted by law and
will not automatically transfer responsibility for matters caused
by our own breach, negligence, misconduct, or other legally
attributable acts.
Nothing in this section creates an unlimited indemnity that has
not been agreed.
21. Termination for Breach
Either party may seek to terminate a service agreement where the
other party commits a material breach and, where the breach can be
remedied, fails to remedy it within a reasonable period after
written notice.
A service agreement may specify additional termination rights for
serious misconduct, unlawful activity, insolvency, persistent
non-payment, or other agreed circumstances, subject to applicable
law.
On termination, the parties will determine the outstanding fees,
deliverables, access arrangements, return or deletion of
information, and any applicable refund in accordance with the
contract and law.
Termination does not automatically extinguish accrued rights,
lawful payment obligations, or clauses that are intended to
survive termination.
22. Events Beyond Reasonable Control
Neither party will be treated as in breach solely because an event
beyond its reasonable control prevents or materially delays
performance, provided that the affected party takes reasonable
steps to mitigate the effect and communicates the issue promptly.
Examples may include major infrastructure failures, widespread
internet outages, natural disasters, government restrictions, or
third-party platform disruptions.
This clause does not automatically excuse payment for services
already supplied or override mandatory legal obligations.
23. Disputes and Complaints
If you have a concern about a service, invoice, project milestone,
or contractual obligation, contact
hello@corevative.com
with a clear description of the issue.
We will aim to acknowledge the concern, review relevant records,
and work towards a practical resolution.
If the issue cannot be resolved informally, the parties may use
any dispute-resolution procedure specified in the applicable
agreement or available under applicable law.
Nothing in this section prevents either party from exercising a
legal right or seeking urgent legal relief where appropriate.
24. Governing Law and Jurisdiction
The governing law and courts applicable to a particular engagement
must be identified in the relevant signed service agreement after
considering CoreVative's actual legal establishment, the client,
the nature of the transaction, and mandatory legal requirements.
For that reason, this general website document does not nominate
an unverified governing jurisdiction.
Any governing-law and jurisdiction clause must not remove
mandatory protections that apply under consumer, privacy, or other
applicable laws.
25. Changes to These Terms
We may update these general website terms from time to time.
Changes will be published on this page with an updated date.
A change to the website terms does not automatically rewrite an
existing signed service agreement. Any material change to an
existing engagement will be handled in accordance with the
applicable contract and law.
26. Severability and Entire Agreement
If a provision of these terms is found unenforceable, the
remaining provisions will continue to apply to the extent
permitted by law.
The relevant proposal or signed service agreement, together with
any documents expressly incorporated into it, sets out the agreed
scope and terms for the applicable engagement.
Nothing in this section excludes liability for fraud or overrides
mandatory statutory rights.
